hereinafter referred to as the "Contractor," publishes this Offer (proposal) for the provision of IT services to any capable individual or legal entity, hereinafter referred to as the "Client," who has accepted (acceded to) this Offer.

1. General Provisions

1.1. This document constitutes a public offer in accordance with Article 437 of the Civil Code of the Russian Federation.

1.2. Unconditional acceptance of this Offer is considered to be the Client's payment for the Contractor's services by any means, including the transfer of funds, or the submission of a request for services.

1.3. Upon acceptance, this Offer acquires the force of a service agreement concluded in writing (Articles 434 and 438 of the Civil Code of the Russian Federation).

2. Subject of the Agreement

2.1. The Contractor provides the Client with information technology services, including but not limited to:

• development, support, and maintenance of software;
• server and IT infrastructure administration;
• technical consulting;
• setup, installation, and configuration of software products;
• other IT services as agreed upon by the parties.

2.2. The specific scope, timelines, and cost of services are determined through correspondence between the parties (including email, messengers) or in an invoice/service request issued by the Contractor and paid by the Client.

3. Rights and Obligations of the Parties

3.1. The Contractor undertakes to:

• Provide services of proper quality within a reasonable timeframe;
• Maintain the confidentiality of information received from the Client;
• Rectify identified defects if they arose through the Contractor's fault.

3.2. The Contractor has the right to:

• Engage third parties in the performance of services without the Client's prior approval;
• Suspend the provision of services in the event of the Client's breach of payment terms;
• Terminate the agreement in the event of systematic breach of obligations by the Client.

3.3. The Client undertakes to:

• Provide all information necessary for the performance of work;
• Pay for services in full and within the agreed timeframe;
• Not transfer the results of work to third parties without the Contractor's consent, unless otherwise agreed in writing.

4. Cost of Services and Payment Terms

4.1. The cost of services is determined individually for each Client and may be specified in the issued invoice, service request, or correspondence between the parties.

4.2. Payment is made to the Contractor's bank account in advance or upon completion, if separately agreed.

4.3. The Client's payment obligations are considered fulfilled upon the receipt of funds in the Contractor's bank account.

5. Warranties and Limitation of Liability

5.1. The Contractor provides services "as is" and shall not be liable for consequences caused by the Client's improper use of work results.

5.2. The Contractor shall not be liable for:

• losses incurred by the Client as a result of the use or inability to use the results of services;
• actions or inactions of third parties;
• disruptions in the operation of equipment, software, or internet connection.

5.3. The Contractor's liability for any claim shall not exceed the amount actually paid by the Client for the corresponding service.

6. Force Majeure

6.1. The parties shall be released from liability for partial or complete non-performance of obligations under this Offer if such non-performance is caused by force majeure circumstances, including but not limited to: natural disasters, actions of government authorities, failures in power supply and internet operation, and military actions.

7. Term and Amendment of Conditions

7.1. This Offer takes effect from the moment of publication on the website and is valid indefinitely.

7.2. The Contractor has the right to unilaterally amend the terms of this Offer at any time. Amendments take effect from the moment of publication.

7.3. The Client is responsible for independently monitoring the current terms of the Offer.
